Terms of Service
Please read these terms carefully before using SendPay Business.
Nature of our service
SendPay Business is a financial technology company — not a bank or a money transmitter, and is not itself authorised by the Financial Conduct Authority (FCA). We provide the software, dashboard and user experience. Regulated payment processing, money movement, custody of funds and card issuing are carried out by our licensed banking and payment partners — including providers authorised and regulated by the FCA — under their own authorisations, and are subject to their terms and to applicable law.
1. Acceptance of terms
By creating an account or using SendPay Business, you agree to these Terms of Service. If you do not agree, do not use the service. We may update these terms from time to time; continued use after changes take effect means you accept them.
2. Eligibility
SendPay Business primarily supports UK businesses and internationally operated UK companies. You must own or operate a UK-registered company, or have an existing UK business entity, and provide accurate, current verification information.
3. Your account
You are responsible for keeping your login credentials, PIN and devices secure, and for all activity under your account. Notify us immediately of any unauthorised use. You must provide accurate information and keep it up to date.
4. Verification & compliance (KYC/AML)
You must complete identity and business verification. We and our partners may request documents at any time, and screen you against sanctions, PEP and watch lists. We may refuse, delay, restrict, suspend or close your account — and hold, freeze or return funds — where we consider it necessary for legal, regulatory, fraud-prevention or risk reasons. We are not liable for losses resulting from these actions.
5. Acceptable use & prohibited activity
You agree not to use the service for any unlawful, fraudulent, deceptive or prohibited activity, including money laundering, terrorist financing, sanctions evasion, or any business restricted by us or our partners (for example unlicensed financial services, illegal goods, or any activity our payment partners prohibit). Breach may result in immediate suspension or closure and reporting to the authorities.
6. Third-party providers
Regulated payment processing, money movement, custody of funds and card issuing are carried out by licensed third parties (including Stripe and our banking and card-issuing partners). Their names and marks may appear within the product. Your use of those services is also governed by their terms, and SendPay Business is not responsible or liable for their acts, omissions, outages, fees or decisions.
7. Your balance & funds
Your balance reflects funds held with our regulated payment partners. It is not a bank deposit, is not protected by the Financial Services Compensation Scheme (FSCS), and SendPay Business is not a bank. We do not pay interest on balances. Access to and availability of funds is subject to verification, partner processing times, corridors and applicable limits.
8. Payments and payouts
Payments, transfers and payouts are subject to verification, available corridors, partner availability and applicable limits. Funds may be held while checks are completed. Fees, where applicable, are shown before you confirm and may change with reasonable notice.
9. Cards
Virtual and physical Visa cards are issued through our licensed partners and are subject to their terms and to card-scheme rules.
10. Chargebacks, refunds & negative balances
You are responsible for all chargebacks, reversals, refunds, disputes, fines and negative balances arising from your activity or that of your customers. We may deduct or recover these amounts from your balance, set them off against other amounts owed to you, require a security reserve, or pursue them by other lawful means.
11. Limitation of liability
The service is provided on an 'as is' and 'as available' basis, without warranties of any kind. To the maximum extent permitted by law, SendPay Business is not liable for indirect, incidental or consequential losses, lost profits, or loss of data, and our total aggregate liability arising from the service is limited to the fees you paid us in the 12 months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be excluded by law.
12. Indemnification
You agree to indemnify and hold harmless SendPay Business, its officers, partners and suppliers from any claims, losses, fines, penalties, costs and expenses (including reasonable legal fees) arising from your use of the service, your breach of these terms, or your violation of any law or third-party right.
13. Suspension & termination
You may close your account at any time. We may suspend, restrict or terminate access — and withhold funds for a reasonable period to cover potential liabilities — where required by law, to manage risk or fraud, or where these terms are breached.
14. Changes to these terms
We may amend these terms to reflect changes in law, regulation, our partners or our service. Where changes are material we will give reasonable notice. Continued use after the changes take effect means you accept the updated terms.
15. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
16. SendPay2SendPay transfers
SendPay2SendPay is our free, instant transfer between two SendPay Business accounts, made by email, phone number or unique SendPay code. These transfers carry no fee and are credited to the recipient's SendPay balance immediately. You are responsible for confirming the recipient before sending; a completed SendPay2SendPay transfer may not be reversible.
